E+H advises VTC on the acquisition of a majority stake in the TSPD Group

E+H advised the investment company VTC on the acquisition of a majority stake in the TSPD Group.

VTC, based in Munich, invests in market-leading, fast-growing medium-sized companies in German-speaking countries. With VTC’s entry, the TSPD Group gains access to strategic expertise and resources as well as additional financial resources to consistently implement its planned expansion course.

The TSPD Group is an IT service group that has successfully positioned itself in the market in recent years through operational excellence, strong customer focus, and organic growth. The group includes TEMS and CC4, among others. The plan is to further develop the group under the name “Minato48°” in the future, while the operating subsidiaries will retain their established brand names. The previous owners will continue to hold a stake in the company.

With the acquisition of a majority stake, VTC is laying the foundation for the further expansion of the TSPD Group, which is to be supplemented by strategic acquisitions in the future. The goal is to establish a leading IT service group in the DACH region with a clear positioning in the IT lifecycle sector. E+H, with a team led by partner Josef Schmidt and associate Alexander Koschell, advised VTC comprehensively on all legal issues relating to the transaction, in particular on the legal structuring of the investment, the performance of due diligence, the drafting of contracts, and corporate, regulatory and financial matters.
